Fractional / Interim CFO – Strategic Finance & Capital Markets Leader: Elite Agile Leadership Bench

You will:
- Lead finance strategy, forecasting & execution architecture
- Establish & own investor‑grade reporting & quarterly cadence lifecycle, ensuring seamless quarterly execution & long-term regulatory integrity.
- Build scalable finance teams, systems & controls designed for institutional oversight
- Architect listing readiness frameworks, ensuring technical disclosure infrastructure meets SK-1300 (US) or NI 43-101 (Canada) standards
- Lead the transition to, and maintenance of, public-company accounting standards (PCAOB audit standards & GAAP / IFRS convergence)
- Act as the primary financial liaison for Board Governance & Audit Committees, ensuring transparency & compliance across all market conditions.
- Partner with CEOs & Boards to allocate capital with discipline & drive valuation momentum.
- Introduce adaptive dashboards & operating rhythm.
Your Technical Profile & Leadership:
- Public Market Mastery: Proven success in SEC / CSA reporting environments, including leading listing / up-listing execution and managing the rigorous cadence of ongoing continuous disclosure (10-Ks, 10-Qs, 8-Ks).
- Regulatory Precision: Deep expertise in specialized technical disclosure infrastructure (e.g., SK-1300 or NI 43-101) and navigating cross-border listing complexities.
- Capital Strategy: Demonstrated success in capital raising, debt/equity structuring &/or navigating SPAC / CPC transaction complexities.
- Governance & Audit: High-level experience with PCAOB audit standards, GAAP / IFRS convergence & internal controls (SOX) uplift.
- Strategic Agility: Ability to partner with Boards and CEOs to maintain valuation momentum, institutional-grade reporting & proactive investor communication post-listing.
- Experience & Education: CFO experience in scaling, restructuring, or value-creation roles.
- Prior exposure to PE / VC environments or S-1 / F-1 drafting is highly desirable.
- CPA, CFA, or MBA in Finance or Accounting is strongly preferred.
Tenure matters less than outcomes. We prefer evidence of results delivered.
Experience & Credentials:
- CFO experience in scaling, restructuring, or public-market value-creation roles
- Strong expertise in Commerce / Finance, with the ability to develop & implement effective strategies.
- Proficiency in preparing & analyzing Financial Statements & Financial Reporting to support decision-making.
- Exceptional Analytical Skills for evaluating business performance & identifying opportunities for improvement.
- Proven ability to manage an IPO, up-listing or dual-listing process & coordinate with legal counsel on registration statements.
- Experience in S-1 / F-1 drafting or navigating SPAC / CPC transaction complexities.
- CPA, CFA, or MBA in Finance or Accounting is strongly preferred.
- Experience guiding companies through growth phases or IPO processes is highly desirable.
- Outstanding communication and collaboration skills to work effectively within executive teams.
- Deep expertise in SEC / CSA continuous disclosure obligations, including 10-Ks, 10-Qs, and 8-Ks (or Canadian equivalents)
- Strong leadership, communication, change management & decision-making skills.
