About The Role
We are
seeking a strategic Chief Financial Officer to serve as a true capital markets and deal-making partner to our CEO, Alex Spencer.
This is not a traditional operational CFO role — Solen already has a strong finance team led by our Group Head of Finance, Cassie Wang, that handles the day-to-day: accounting, FP&A, reporting, and operational finance.
The CFO we are looking for is a seasoned capital markets and corporate development executive. You will sit at the center of how Solen grows: structuring and executing debt and equity raises, leading negotiations, driving capital allocation decisions across the portfolio, managing investor and lender relationships, and supporting restructuring efforts when needed. You will work hand-in-hand with Alex on every major financial decision and transaction the company undertakes.
This is a high-trust, high-visibility role for someone who thrives at the intersection of strategy and execution — a dealmaker who is equally comfortable in a boardroom and at the negotiating table.

You are a builder, a dealmaker, and a strategic operator who wants to help shape how a growing software holding company allocates capital, structures its balance sheet, and tells its story to investors.
You Bring
- A proven track record of raising capital — equity, debt, or both — in growth or acquisition-oriented environments.
- Deep familiarity with capital markets and financing structures, including leveraged buyouts, revolving credit facilities, seller financing, earn-outs, and alternative/non-dilutive instruments.
- Experience negotiating directly with lenders, investors, sellers, and counterparties — and a reputation for getting deals across the finish line.
- A strong sense for capital allocation in a portfolio context: where to invest, when to return capital, and how to balance risk and return across multiple business units.
- Comfort operating in a lean, fast-moving environment — scrappy and decisive, not reliant on large teams or heavyweight processes.
- An ability to translate complex financial strategy into clear, compelling narratives for boards, investors, and partners.
- Familiarity with software / SaaS business models and the metrics that matter (ARR, NRR, LTV/CAC, Rule of 40, etc.).
Key Responsibilities
Capital Raising & Financing
- Lead all equity and debt capital raising efforts, from initial strategy through close.
- Identify, evaluate, and execute financing structures to support acquisitions and organic growth — including senior debt, subordinated debt, revolving facilities, seller financing, structured earn-outs, revenue-based financing, government grants, and strategic partnerships.
- Leverage deep knowledge of capital markets and alternative funding sources to reduce cost of capital and maintain balance sheet flexibility.
- Build and maintain relationships with lenders, credit funds, family offices, and equity investors.
- Own debt covenant compliance and lender reporting obligations.
Investor Relations
- Serve as the primary point of contact for Solen's investor base — managing communications, reporting, and relationship-building.
- Lead the preparation and delivery of quarterly shareholder reports and equity-related disclosures.
- Own the equity management process, including tracking shares, options, warrants, and other equity instruments.
- Prepare materials and lead discussions for board meetings and investor updates.
Capital Allocation & Strategic Finance
- Partner with the CEO to set the capital allocation framework across the portfolio: organic reinvestment, bolt-on acquisitions, debt paydown, and distributions.
- Advise on investment decisions, return thresholds, and deal structures — providing clear financial perspective and recommendation.
- Provide financial modeling and scenario analysis to support strategic decisions at the corporate and portfolio level.
- Monitor portfolio performance against strategic and financial targets; identify risks and opportunities early.
Restructuring & Corporate Development
- Lead or support restructuring initiatives when needed — at the corporate level or within portfolio companies.
- Partner with the CEO and leadership team to evaluate strategic alternatives, including refinancings, divestitures, and recapitalizations.
- Identify early warning signals in portfolio companies and develop proactive remediation plans.
M&A Support
- Partner with the M&A team to evaluate and structure new acquisitions.
- Support post-acquisition financial integration in collaboration with our Finance team.
Governance & Oversight
- Ensure Solen maintains a strong governance framework: internal controls, audit readiness, regulatory compliance, and tax strategy.
- Serve as the primary liaison with external auditors, tax advisors, and legal counsel.
- Work in partnership with the Group Head of Finance to ensure financial reporting is accurate, timely, and insightful — without duplicating or undermining the existing finance function.
Key Requirements To Succeed
- 10+ years of experience in investment banking, private equity, corporate development, or a capital markets-focused CFO role.
- Demonstrated track record of successfully closing debt and/or equity financing transactions.
- Strong M&A deal experience, including structuring, negotiation, and diligence.
- Deep understanding of software / SaaS business models and recurring revenue dynamics.
- Experience with portfolio company structures and managing financial oversight across multiple P&Ls.
- Exceptional communicator — able to build credibility quickly with investors, lenders, boards, and operating teams.
- Comfortable working in a lean environment without a large supporting team; resourceful and execution-oriented.
