The role
ASTRALX INC and its holding company, NOVEXIS INC, are hiring a Chief Financial Officer to close the ASTRALX Series A, safeguard every investor dollar, and build the finance foundation for the rounds that follow across the group.
ASTRALX INC is a Delaware medical device company headquartered in Irvine, California, building a next-generation liposuction platform that unifies ultrasound-assisted (UAL) and power-assisted (PAL) liposuction with AI smart calibration in one ergonomic system. The company was co-founded by medtech operator Ewan Mohammed (CEO) and Dr. Alfredo Hoyos, pioneer of High-Definition Liposculpture (Chief Medical Officer), and launches in 2027 alongside the ASTRALX INSTITUTE™, a global network of surgeon-led training centers.
NOVEXIS INC is the Delaware holding company, headquartered in Irvine, that builds and scales the group's businesses and brings new ideas to market. The CFO starts with ASTRALX and then extends the same financial discipline across NOVEXIS.
The CFO owns financial integrity end to end at both companies: the capital raise, the controls that protect it, the reporting investors rely on, and the plan that turns funding into regulatory and commercial milestones.
Why this role matters now
We are actively raising our Series A from accredited investors, and our investors are trusting us with capital before first revenue. This hire exists so that trust is earned every day, not just at closing.
- Close the Series A, then go further. Bring the round to a clean close and position the company for an extension, follow-on, or Series B on stronger terms.
- Protect investor money. Every dollar is tracked against the stated use of proceeds: product development, regulatory activities, manufacturing scale-up, commercial readiness, and working capital.
- Be the investor's independent check. The CFO gives the Board and shareholders accurate, timely numbers and raises concerns directly when spending, risk, or reporting drift from plan.
Key responsibilities
Capital raising and investor relations
- Lead the financial side of the Series A with the CEO and fundraising lead: data room, financial model, valuation support, investor diligence, and closing.
- Build the financing roadmap beyond the Series A, including extensions, follow-on rounds, Series B readiness, and non-dilutive sources such as grants and strategic partnerships.
- Own investor communications: quarterly updates, annual reports, and timely answers to investor questions.
- Maintain the cap table, option pool, and 409A valuations, and model dilution for every proposed financing.
Investor protection, controls and governance
- Design and enforce internal controls from day one: segregation of duties, dual approval on payments above set thresholds, and documented spending authority.
- Track use of proceeds against the plan presented to investors and report any variance to the Board.
- Manage banking and treasury: cash runway, safe and diversified cash management, and authorized signers.
- Partner with securities counsel on Regulation D compliance, Form D and state filings, and investor rights such as information rights and pro-rata.
- Prepare Board materials, support the Audit Committee once formed, and keep corporate records investor-ready.
Financial planning and reporting
- Own the operating model and annual budget, tied to regulatory and product milestones rather than calendar spend.
- Deliver a monthly close and GAAP financial statements, and lead the first independent financial audit.
- Report monthly on burn, runway, and milestone progress to the CEO and Board.
- Build unit economics for the business model: system sales, consumables, and service and training revenue.
Operations, risk and compliance
- Oversee tax, payroll, insurance, and vendor contracts.
- Budget and track FDA 510(k) regulatory spend, clinical work, and manufacturing scale-up with contract manufacturers.
- Set pricing, payment terms, and credit policy for launch customers and international distributors.
- Build the finance team and systems as the company grows, starting lean.
Holding company (NOVEXIS INC)
- Serve as CFO of NOVEXIS INC, overseeing finance across its portfolio companies.
- Keep each company's funds, bank accounts, and books strictly separate, so capital raised for ASTRALX INC is used only by ASTRALX INC.
- Put intercompany services and shared costs on written, Board-approved agreements at fair pricing.
- Build consolidated group reporting and a group-wide financing strategy, and support capital raising for other portfolio companies after the ASTRALX Series A.
What success looks like
By day 90, investors should be able to see exactly where their money is, what it is funding, and how long it lasts.
- First 30 days: Review the model, data room, cap table, and banking; put payment approval rules and spending authority in writing; map open diligence items.
- Days 31–60: Run the first full monthly close; ship the first burn, runway, and use-of-proceeds report; drive Series A diligence and closing workstreams.
- Days 61–90: Present a milestone-based budget to the Board; deliver the first investor update; scope the first audit; outline the post-Series A financing roadmap.
- Over the first year: the Series A closes cleanly, the books pass an independent audit, and the company is ready to raise its next round.
QualificationsRequired
- 10+ years in finance leadership, including at least 3 years as CFO, VP Finance, or Controller at a venture-backed company.
- Proven track record in the medical device or medtech industry: at least 5 years in finance leadership at medtech companies, with results you can point to, such as a closed financing, a clean audit, or a device company taken through FDA clearance or commercial launch.
- Has personally led or co-led at least one priced equity round (Series A or later) from diligence through closing.
- Deep knowledge of GAAP, internal controls, audit preparation, and cap table management.
- Working knowledge of private securities rules, including Regulation D offerings to accredited investors.
- High integrity and independence: comfortable telling the CEO and Board what they need to hear.
- Bachelor's degree in finance, accounting, or economics.
Preferred
- Experience taking a pre-revenue device through FDA 510(k) clearance and into commercial launch.
- CPA and/or MBA.
- Holding company or multi-entity experience: consolidation, intercompany accounting, and entity-level cash controls.
- Experience with hardware companies, contract manufacturing, and recurring consumables revenue.
- International exposure across the Americas, Europe, and the Middle East.
- Investor relationships with healthcare VCs, family offices, or strategic investors.
- Familiarity with Carta and modern finance tools.
Compensation and benefits
$150,000–$180,000 annual base salary, plus a milestone-based bonus and equity.
The bonus is tied to measurable outcomes such as closing the Series A, a clean independent audit, accurate and on-time investor reporting, and spending within the approved use of proceeds. Compensation does not include any commission, finder's fee or success fee, and no part of it is calculated on the amount of capital raised.
The role is eligible for an equity grant, subject to approval by the Board of Directors, the terms of the applicable equity plan, and a vesting schedule.

Work environment
Full-time, on-site at our Irvine, California headquarters. Standard business hours, with occasional evening, weekend or travel commitments around investor meetings, Board meetings and conferences. The CFO works closely with the fundraising lead, securities and IP counsel, and outside accountants.
