The Opportunity
The AI buildout is not constrained by capital. It is constrained by the people and companies who can power, cool, build, and maintain data centers. We are building a critical-facility services platform focused on exactly that: electrical contracting, cooling, maintenance, and technology services for data centers and other mission-critical facilities.
The platform will grow by acquiring established, profitable contracting and maintenance businesses and integrating them into a single operating company. Executing that strategy requires a finance leader who can raise capital at every layer of the structure, finance acquisitions, and build public-company-grade reporting and controls from day one.
This is an entrepreneurial, ground-floor opportunity. The Chief Financial Officer will work alongside the CEO and board to capitalize the company, close its first acquisitions, and build the finance function that supports institutional capital and a potential path to the public markets.
What You Will Do
• Raise capital. Lead equity and debt raises to fund acquisitions and growth. Develop investor materials, run investor and lender processes, and manage relationships with family offices, institutional investors, private credit funds, and commercial banks.
• Finance acquisitions. Structure and finance acquisitions, including senior and subordinated debt, seller notes, earnouts, and equity rollover. Lead financial and accounting diligence and quality-of-earnings work.
• Build public-company reporting. Build the reporting infrastructure required of an SEC registrant, including preparation of Forms 10-K, 10-Q, and 8-K, and the controls and disclosure processes behind them.
• Establish Sarbanes-Oxley compliance. Design and implement internal controls over financial reporting that meet Sarbanes-Oxley requirements, including Section 302 certifications and Section 404 compliance.
• Own the audit. Select and manage the company's independent auditors and lead PCAOB audits, including audits of acquired businesses.
• Integrate acquired finance functions. Consolidate acquired companies onto common accounting systems, chart of accounts, close processes, and job-cost and percentage-of-completion accounting.
• Run planning and treasury. Lead budgeting, forecasting, cash management, covenant compliance, and board reporting.
• Build the team. Recruit and develop the controller, FP&A, and accounting team as the platform scales.
What You Bring
• 15+ years of finance leadership, including service as CFO or in a senior finance role at an SEC reporting public company.
• Direct responsibility for preparing and filing Forms 10-K, 10-Q, and 8-K.
• Hands-on experience designing and maintaining Sarbanes-Oxley compliant internal controls.
• Experience leading PCAOB audits as the company's senior finance executive.
• A demonstrated record of raising equity and debt capital, with an active network of family offices, institutional investors, private credit funds, and commercial banks.
• Acquisition experience, including financial diligence, deal financing, and post-close integration. Roll-up or platform-building experience is strongly preferred.
• Familiarity with construction, contracting, or industrial services accounting, including job costing and revenue recognition under ASC 606, is a plus.
• CPA required. MBA or Big Four audit background is a plus.
Compensation and Structure
Initial compensation consists entirely of equity, in the form of founding equity and stock options. There is no cash salary at the outset. This role is designed for a finance executive who wants meaningful ownership in a company they help build, with significant upside tied directly to the capital raised, the acquisitions closed, and the value created.
Candidates who require an immediate cash salary should not apply. Candidates who want to own a substantial piece of a platform positioned at the center of data center infrastructure should.
