Position Overview
BKR Brands Holdings, Inc. is seeking an experienced Fractional Chief Financial Officer (CFO) to lead
financial strategy,
capital markets initiatives, and investor relations across the BKR family of companies, including:
• BKR Brands / Happy Duck – hemp-derived THC beverages and consumer packaged goods
• Cascade CBX – NSF-certified sports performance and wellness products
• BKR Cannabis – vertically integrated cannabis cultivation, manufacturing, and retail operations
The CFO will work directly with the executive team to structure and execute multiple capital raises
totaling $30M+
across seed and Series A financing rounds, while building the financial infrastructure required to
support rapid growth.
The ideal candidate has a strong investor network, experience raising institutional capital, and
preferably experience
guiding companies through public market transactions such as IPOs, reverse mergers, or SPAC
listings.
Role Summary
The Fractional CFO will act as the strategic financial leader for the BKR platform, overseeing capital
strategy, investor
engagement, financial planning, and institutional readiness across multiple operating companies.
This role requires someone capable of telling the financial story of the business, building investor
confidence, and
helping position BKR for large-scale capital investment and potential public market opportunities.
Key Responsibilities
Capital Raising & Investor Relations
• Lead capital raising initiatives targeting $30M+ in combined financing
• Structure and execute seed, Series A, debt, and hybrid financing vehicles
• Develop relationships with venture funds, family offices, strategic investors, and institutional capital
sources
• Coordinate investor outreach, pitch preparation, and due diligence processes
• Support negotiation of investment terms, valuations, and financing structures
• Maintain investor communications and reporting
Financial Strategy
• Develop financial models, forecasts, and capital allocation plans across multiple companies
• Advise leadership on pricing strategy, growth capital deployment, and margin optimization
• Support corporate structuring and financing strategies across the BKR platform
• Evaluate strategic partnerships, acquisitions, and potential exit opportunities
Financial Infrastructure
• Implement scalable financial systems and reporting frameworks
• Oversee financial reporting and compliance across BKR portfolio companies
• Prepare financial materials for investors, lenders, and board members
• Ensure financial operations are ready for institutional investment
Public Market Readiness (Preferred)
• Provide strategic guidance on long-term public market opportunities
• Assist in preparing financial controls, reporting standards, and governance structures required for
potential IPO, SPAC, or reverse merger transactions
• Help position BKR companies for institutional investor scrutiny and capital market access
Required Qualifications
• Previous experience as CFO, fractional CFO, or senior financial executive
• Demonstrated success raising institutional capital (Seed, Series A, venture debt, or growth equity)
• Proven track record raising $10M+ in private capital
• Strong network of investors, venture funds, and family offices
• Expertise in financial modeling, valuation, and deal structuring
• Ability to communicate complex financial strategy to investors and stakeholders
Preferred Qualifications
• Experience in cannabis, hemp, beverage, or consumer packaged goods industries
• Experience preparing companies for Series A or Series B fundraising
• Prior involvement in taking a company public (IPO, reverse merger, or SPAC transaction)
• Background in venture capital, private equity, or investment banking
• Experience managing financial strategy across multi-entity corporate structures
Compensation
This is a fractional executive role structured to align incentives with capital raising and long-term
company growth.
Compensation includes:
• Monthly retainer
• Capital raise success fees
• Equity participation
Detailed compensation structure will be aligned with capital raised and long-term company value
creation.

Periodic travel may be required for investor meetings and strategic plannin
