About the Role
We are seeking an entrepreneurial, seasoned, strategically oriented Chief Financial Officer (CFO) to join our leadership team at ZOOM Communications. The CFO, a key member of a rapidly growing executive team, will drive financial strategy, governance, capital allocation, and long-term value creation. This is a high-impact role suited for a finance leader with a proven track record in large organisations and exposure to capital markets, M&A, and international financial risk management.

Key Responsibilities include, but are not limited to:
1. Financial Strategy & Business Partnership:
· Define and own the company's long-term financial strategy in alignment with overall business goals
· Serve as a strategic co-pilot to the executive team, providing data-driven analysis and insights for major business decisions, including capital allocation, geographic expansion, and new business initiatives
· Lead financial planning, budgeting, and forecasting cycles; present financial performance and outlook to the Board
· Evaluate and recommend optimal capital structure, balancing growth ambition with cost of capital
2. Fundraising – Debt & Private Equity:
· Lead and manage the entire lifecycle of debt fundraising: working capital, term loans, ECB, NCDs, and structured finance instruments
· Drive private equity fundraising processes, including preparation of investment materials, management presentations, financial models, and deal negotiations
· Build and maintain strong relationships with banks, NBFCs, PE/VC investors, DFIs, and credit rating agencies
· Manage banking covenants, compliance with lender obligations, and timely financial reporting to debt providers
3. IPO Preparedness:
· Lead end-to-end IPO readiness assessment, financial restatements, and compliance with SEBI, ICDR, and LODR regulations
· Coordinate preparation of the Draft Red Herring Prospectus (DRHP) with investment bankers, legal advisors, auditors, and merchant bankers
· Oversee investor roadshows, analyst briefings, and pre-IPO governance framework upgrades
· Establish robust disclosure practices, board reporting standards, and investor communication protocols aligned with public company requirements
4. Mergers, Acquisitions & Due Diligence:
· Drive M&A origination support, target evaluation, financial due diligence, valuation, and integration planning
· Lead financial and commercial due diligence for inbound and outbound transactions; manage data rooms and liaise with advisors
· Assess synergies, integration risks, and post-merger financial consolidation
5. Foreign Currency (FCY) Hedging & Treasury:
· Formulate and implement FCY risk management policy; actively manage the company's foreign exchange exposure through appropriate hedging instruments (forwards, options, swaps)
· Oversee treasury operations, liquidity management, cash flow forecasting, and investment of surplus funds
· Monitor global macroeconomic and currency trends and advise leadership on treasury risk strategies
6. Financial Reporting, Compliance & Audit:
· Ensure timely and accurate closure of monthly, quarterly, and annual financial statements in compliance with Ind AS.
· Ensure compliance with Companies Act 2013, FEMA, Income Tax (TDS, Advance Tax etc), GST.
· Oversee statutory audits, tax audits, and internal audits; manage relationships with Big 6 / Big 4 audit firms and ensure clean audit outcomes
· Lead and manage the transition from Indian GAAP to Ind AS, ensuring full compliance with the applicable convergence roadmap and disclosures.
· Oversee secretarial compliance, ROC filings, related-party transaction governance, and coordination with the Company Secretary function.
7. ERP & Technology Leadership:
· Lead enterprise-wide ERP implementation and upgrades ensuring finance process automation and data integrity.
· Leverage Generative AI and advanced analytics tools to enhance financial reporting, scenario planning, forecasting, and audit efficiency.
· Champion digital transformation initiatives in the finance function, including automation of reconciliations, month-end close, and management information systems.
8. Risk Management & Governance:
· Build and maintain a robust internal control framework, including SOPs, risk registers, and audit committee reporting.
· Identify financial, operational, regulatory, and reputational risks; develop mitigation strategies and present risk dashboards.
· Ensure strong corporate governance practices in line with Companies Act, and international best practices
9. Team & Stakeholder Leadership:
· Build, mentor, and lead a high-performing Finance & Accounts team across functions including accounting, taxation, treasury, FP&A, and compliance
· Manage and develop relationships with key external stakeholders: auditors, banks, PE/VC investors, regulators, rating agencies, and legal advisors
Required Qualifications & Experience:
· Total Experience: Minimum 18 years of progressive experience in Finance & Accounts
· Leadership Tenure: Minimum 2 years as CFO, Deputy CFO, or Head of Finance & Accounts
· Company Size: Experience in companies with an annual turnover exceeding ₹1,000 Crore
· Debt Fundraising: Demonstrated track record in raising debt (vanilla & structured) – working capital, term loans, ECB, NCDs, PTCs etc.
· PE Fundraising: Hands-on experience in private equity fundraising, PE & IB firms relationships, and deal execution
· IPO Preparedness: Experience of leading/being part of team involved in IPO Preparedness.
· Ind AS / GAAP Transition: Proven experience in transitioning financial reporting from Indian GAAP to Ind AS
· FCY Hedging: Active exposure to foreign currency risk management and hedging strategies
· M&A / Due Diligence: End-to-end M&A experience including financial due diligence and integration
· ERP Implementation: Experience in leading at least one full-cycle ERP implementation
· Big 6 Auditor Handling: Proven experience of managing Big 6 / Big 4 auditors
· Gen AI Familiarity: Working knowledge of Generative AI tools and their applicability in finance functions
Educational Qualifications:
Mandatory: Chartered Accountant (CA) – ICAI.
Added Advantage:
1. MBA (Finance) from a reputed institution is an additional qualification
2. Qualified Company Secretary (CS) – ICSI
3. Prior experience of working in a B2B / B2G organization
4. Industry experience in any of the following: Sports, Media, Entertainment, Healthcare, Retail, Aerospace & Defence
