Mandate Overview (Board-Level Appointment)
The Board of a large, high-growth manufacturing conglomerate (₹15,000+ Cr revenue) is initiating a confidential search for a Chief Financial Officer to partner closely with the Chairman, Managing Director, and Board in shaping the company’s next phase of expansion.
The organization is entering a transformative growth cycle involving:
- Backward and forward integration initiatives
- Large-scale, multi-year capital expenditure programs
- Strategic capital raising through capital markets and/or private equity participation
- Potential preparation for enhanced market interface and institutional investor participation
This is a strategic finance leadership role, not a compliance-driven position. The CFO will act as a capital architect, growth strategist, and trusted advisor to the Board
Board Expectations
The incoming CFO will
1. Capital Strategy & Market Interface
- Architect optimal capital structure to fund aggressive expansion plans.
- Lead engagement with:
- Private Equity and Strategic Investors
- Institutional investors and private bankers
- Lenders, rating agencies, and structured finance providers
- Evaluate IPO / QIP / structured instruments where appropriate
- Build long-term credibility with financial markets
2. Growth & Integration Strategy
- Provide financial leadership for backward and forward integration projects.
- Evaluate M&A opportunities, JV structures, and inorganic expansion
- Develop rigorous investment frameworks for large Capex deployment
- Ensure disciplined capital allocation with strong ROCE focus
3. Commercial Leadership
- Strengthen commercial orientation across the enterprise.
- Drive margin expansion, pricing strategy, and working capital optimization.
- Embed financial analytics into business decision-making.
- Partner with business heads to improve profitability and cash flows.
4. Governance & Risk Oversight
- Maintain institutional-grade financial controls and governance standards
- Provide risk visibility to the Board in a rapidly expanding environment
- Oversee finance, treasury, tax, and compliance through a strong second line
Candidate Profile
- CA / MBA (Finance) with 20+ years of progressive leadership experience
- Prior CFO / Group CFO / Deputy CFO experience in large manufacturing / capital-intensive businesses.
- Demonstrated success in
- Raising growth capital -public markets and/or private equity
- Leading large Capex and integration projects
- Engaging with sophisticated financial stakeholders
- Strong commercial instinct beyond traditional finance
- Deep network within private banking, PE funds, institutional investors, and structured finance ecosystem.
- Strong Board presence and ability to operate in promoter-driven as well as institutional environments.
