Job Summary: As the Chief Financial Officer (CFO), you will play a pivotal role in the strategic decision-making process, providing financial leadership, ensuring financial health, optimizing resources, and aligning the financial operations of the company with its long-term business objectives. You will be expected to not only manage the day-to-day financial operations but also develop and execute strategies that support company’ growth, sustainability, and profitability. The CFO will report directly to the Managing Director and will be an integral part of the leadership team, contributing to business expansion, risk management, and corporate governance.
Key Responsibilities:
- Financial Leadership and Strategic Planning:
- Develop and implement financial strategies aligned with company business vision, ensuring both short-term and long-term objectives are met.
- Lead the development of the annual financial plan, incorporating budgeting, forecasting, and financial modeling in coordination with business leaders to ensure resources are aligned to corporate goals.
- Partner with the CEO and senior leadership team to shape business strategy, offering financial perspectives that influence key decisions and initiatives.
- Create financial scenarios that assist in future business planning, including risk analysis and strategic positioning.
- Financial Reporting and Performance Management:
- Oversee the preparation of accurate and timely financial statements (profit and loss, balance sheet, and cash flow statements) in compliance with Indian GAAP, IFRS, and other applicable standards.
- Present comprehensive financial reports to the Board of Directors, CEO, and investors, offering insights into financial performance and recommending adjustments or corrective actions.
- Monitor company financial health using key performance indicators (KPIs), financial ratios, and other performance metrics to ensure targets and benchmarks are being met.
- Implement and manage a robust system for performance monitoring, identifying trends, risks, and opportunities in financial data to optimize business operations.
- Cash Flow, Treasury, and Capital Management:
- Oversee cash flow forecasting and management, ensuring that the company’s liquidity is maintained while meeting all operational, capital, and financing requirements.
- Optimize the company’s capital structure through effective management of debt, equity, and working capital, balancing risk and return to support the company’s growth.
- Direct the treasury function to manage financial transactions, banking relationships, short-term financing, and investment strategies.
- Lead the negotiation of financing arrangements, including loans, lines of credit, and other financial products, to ensure optimal cost of capital.
- Corporate Finance, Mergers, and Acquisitions:
- Manage all aspects of corporate financing, including raising capital through debt, equity, or other financial instruments, ensuring the company’s funding needs are met.
- Lead mergers and acquisitions (M&A) initiatives, conducting financial due diligence, developing valuations, structuring deals, and overseeing post-merger integration.
- Identify and evaluate strategic investment opportunities, alliances, or joint ventures that enhance the company’s financial position and market footprint.
- Taxation and Compliance:
- Ensure full compliance with tax laws, regulations, and obligations, including corporate income tax, GST, and other applicable taxes.
- Supervise tax planning and optimization strategies to minimize tax liabilities while ensuring full regulatory compliance.
- Leadership and Team Development:
- Lead, mentor, and develop a high-performance finance team, fostering a culture of collaboration, accountability, and continuous improvement.
- Ensure that the finance department is properly resourced with the right talent, skills, and systems to execute on the company’s financial goals.
- Stakeholder Management and Communication:
- Serve as the primary point of contact for key stakeholders including auditors, investors, financial institutions, and regulatory authorities.
- Communicate the company’s financial position and performance to external stakeholders, building and maintaining strong relationships with financial analysts, investors, and key partners.
- Ensure transparency and clarity in financial reporting, fostering trust with investors, shareholders, and other stakeholders.
- SEBI and Stock Exchange Compliance:
- Oversee compliance with SEBI regulations and ensure the company adheres to all reporting, disclosure, and governance requirements set by the Securities and Exchange Board of India.
- Serve as the primary liaison between company and the stock exchanges (e.g., NSE, BSE), ensuring that all filings, corporate announcements, and disclosures are made accurately and in a timely manner.
- Manage interactions with SEBI and stock exchange authorities regarding any corporate actions, such as IPOs, mergers, acquisitions, share buybacks, or public offerings, ensuring adherence to regulatory standards.
- Ensure that all financial transactions, related party transactions, and significant corporate events comply with listing obligations and disclosure requirements under the SEBI (LODR) Regulations, 2015.
- Work closely with legal and compliance teams to ensure proper reporting, shareholder communications, and transparency in all dealings with SEBI and stock exchanges.
Qualifications & Skills:
Educational Requirements: Chartered Accountant (CA) and MBA (Finance), or equivalent financial qualifications.
Professional Experience:
- Minimum 20 years of experience in senior financial roles, with at least 8-10 years in a CFO position or equivalent leadership role preferably in manufacturing, engineering, or related industries with annual revenue of Rs.7500 cr plus
- Demonstrated success in managing complex financial operations, driving business growth, and leading financial transformation in a dynamic environment.
