Job Description – Chief Financial Officer (CFO)

Position Summary
The CFO will be responsible for leading the financial strategy, ensuring robust financial controls, and steering the company through its SME IPO journey. The role requires expertise in SEBI regulations, capital market compliance, and investor relations, alongside traditional responsibilities like budgeting, banking liaison, and operations management.
Key Responsibilities
1. SME IPO Strategy & Regulatory Compliance (New & Critical)
IPO Readiness: Lead the end-to-end preparation for listing on SME platforms (BSE SME / NSE Emerge), including capital restructuring and conversion of the entity status if required.
Regulatory Liaison: Act as the primary point of contact for SEBI, Stock Exchanges, and Depositories (NSDL/CDSL).
DRHP/RHP Preparation: Work closely with Merchant Bankers and Legal Counsels to draft the Draft Red Herring Prospectus (DRHP), ensuring accurate financial disclosures and risk factors.
Due Diligence: Manage the Financial Due Diligence (FDD) process and respond to queries raised by the Exchange or Regulators during the listing process.
Corporate Governance: Establish and maintain high standards of corporate governance (LODR compliance), including the formation of Audit and Remuneration Committees.
2. Banking Relations & Fund Management
Manage end-to-end banking relationships, ensuring adequate working capital and credit limits.
Prepare and submit critical financial documents including Stock Statements, CMA Data, and Project Reports.
oversee treasury and cash flow management to ensure liquidity before, during, and after the IPO process.
3. Stakeholder Management & Investor Relations
Roadshows & Presentations: Prepare and deliver high-impact presentations to Merchant Bankers, Anchor Investors, and Analysts for the IPO.
Post-Listing Communication: Handle quarterly/half-yearly investor calls and earnings presentations post-listing.
Board Reporting: Provide strategic financial insights to the Board regarding valuation, dilution, and equity structuring.
4. Financial Operations & Controls
Ensure robust internal controls and SOPs are "IPO-ready" to withstand external audit scrutiny.
Oversee day-to-day financial operations (AP/AR) and drive cost-efficiency across multiple sites.
5. Compliance, Taxation & Audit (Expanded)
Capital Market Compliance: Ensure adherence to SEBI (ICDR) Regulations and SEBI (LODR) Regulations post-listing.
Statutory Compliance: Oversee ROC filings, GST, TDS, PF/ESIC, and labor compliances.
Insider Trading: Implement and monitor the Code of Conduct for Prevention of Insider Trading.
6. MIS & Reporting
Lead monthly MIS reporting and develop IPO-grade financial statements (Restated Financials).
Develop KPIs and performance metrics that align with the growth story pitched to investors.
7. Team Leadership
Lead the finance team to transition from a private company mindset to a publicly listed compliance culture.
Build capabilities in secretarial compliance and investor reporting.
Qualifications
Education: CA / MBA (Finance) from reputed institutes.
Experience: 15+ years of progressive experience, with a minimum of 5 years in a leadership role.
IPO Experience: Proven experience in managing IPO processes (SME or Mainboard) or handling compliance for a listed entity is highly desirable.
Industry Preference: Prior experience in Facility Management / Services industry is preferred.
Banking & Regulators: Strong track record in Liaisoning with Banks, Merchant Bankers, Registrars, and Stock Exchanges.
