Overview:
The Chief Financial Officer (CFO) is a strategic business leader responsible for the financial direction of a highly successful US subsidiary, ensuring robust growth while maintaining stringent legal and financial separation from the parent corporation due to critical ecosystem compliance requirements. This role requires expertise in the subscription services and preferably a proven track record in international market expansion.
Key Responsibilities:
- Autonomy & Business Separation:
- Establish and enforce strict financial and operational firewalls to ensure the US subsidiary operates as an independent, stand-alone entity.
- Manage all intercompany agreements (e.g., service agreements, intellectual property licensing) on an "arm's length" basis, ensuring robust documentation and compliance with US and Indian public company regulations coupled with separation that ensures the ecosystem in which the subsidiary operates sees this operation as being as independent as possible from its corporate owner.
- Compliance & Reporting (US & International):
- Oversee all financial reporting in compliance with US Generally Accepted Accounting Principles (GAAP) and relevant US regulations (e.g., SEC reporting implications for the parent's filings, Sarbanes-Oxley controls).
- Ensure compliance with local regulatory filings, tax laws (federal, state, and sales tax), and all aspects of the Foreign Exchange Management Act (FEMA) and Reserve Bank of India (RBI) regulations as they pertain to the subsidiary's operations and reporting obligations.
- Implement strong internal control systems and coordinate with external auditors in both the US and India to verify compliance and financial transparency.
- Subscription Model Expertise: Monitor and report on key SaaS metrics, including Monthly Recurring Revenue (MRR), Annual Recurring Revenue (ARR), Customer Lifetime Value (LTV), and churn rates, to drive performance and strategy.
- International Expansion & Treasury Management:
- Lead financial strategy for market entry into Europe and Latin America, including entity structuring and local tax compliance (e.g., VAT).
- Develop and implement sophisticated currency hedging strategies and manage cross-border cash flows efficiently, navigating potential Indian government restrictions on fund movement out of India.
- Strategic Planning & Risk Management: Serve as a strategic partner to the CEO and the independent US Board of Directors, identifying investment opportunities, assessing financial risks, and ensuring robust internal controls to mitigate potential liabilities (e.g., FCPA compliance risks).
- Leadership & Operations: Lead the finance, accounting, and treasury teams, fostering a culture of accountability and ensuring the use of modern ERP systems (NetSuite) and data analytics to drive business intelligence and operational efficiency.
Qualifications & Skills:
- Education: A bachelor's degree in Finance or Accounting is required. An MBA or professional certification such as CPA or CFA is strongly preferred.
- Experience:
- Minimum of 10+ years in progressive financial leadership roles, with at least 5 years as a senior finance executive.
- Proven experience in a company with a subscription-based revenue model.
- Direct experience in leading or significantly contributing to a company's international market expansion (Europe and/or Latin America).
- Experience managing finances for a US subsidiary of an international public company, with specific knowledge of maintaining legal and financial separation and navigating cross-border compliance.
- Comfort in working in a “start-up” team environment that is fast paced, innovative and aggressive.
- Skills:
- Deep expertise in US GAAP, international financial reporting standards, and navigating complex regulatory environments (RBI, SEBI, SEC, IRS).
- Strong analytical thinking, problem-solving, and communication skills, with the ability to clearly articulate complex compliance and financial information to diverse stakeholders and non-financial audiences.
- Ability to maintain the corporate formalities and governance required to protect the subsidiary's liability shield from the parent company.
Benefits & Compensation
- Basic Salary Range: $250,000- $325,000 annually. The salary may be adjusted within this range based on the candidate’s qualifications, experience and specific needs of the job.
- This position is eligible for an annual bonus percentage based on Company and team performance goals.
