We are seeking a Chief Financial Officer & Corporate Secretary to join our senior executive team to lead the Company’s financial reporting, budgeting, treasury, corporate governance and administrative functions.
This full-time and permanent position will be a key member of the executive team and will provide the Board, CEO and fellow company executives with sound strategic and financial leadership to ensure the achievement of the Company’s objectives. The Role
We are looking for a professional who can lead all aspects of FPX Nickel’s finance and administration initiatives. The successful candidate will be a demonstrated leader and have a history of success leading teams and collaborating with senior-level management colleagues and boards of directors.
Reporting to the Chief Executive Officer, the CFO & Corporate Secretary will have overall responsibility for the Company’s financial reporting, budgeting, treasury, corporate governance and administrative functions. Work will require close collaboration with fellow senior executives and reporting to both internal and external stakeholders to support the strategic goals of the Company.
Duties of the role include (but are not limited to):
Financial Reporting
· Preparation of financial statements and MD&A and compliance activities relating to the Company’s public reporting and income tax requirements, working closely with the external auditors to support annual audit engagements
· Developing and maintaining systems of internal controls to safeguard financial assets and disclosure procedures to ensure accurate and timely reporting, and to ensure compliance with regulatory reporting requirements
· Provide leadership to the Company’s accounting team to co-ordinate and deliver on all internal and external reporting requirements
Budgeting, Treasury and Taxation
· Participating in the ongoing strategic planning process as an integral member of the senior management team, providing timely and accurate financial information and analysis to support decision-making
· Overall management of budgeting process at the project- and corporate-levels, including development of budgets, tracking actual performance and monthly reporting thereon to senior management colleagues and the board of directors
· Support executive team and board of directors with ad hoc analysis and reporting as required, including to key external partners
· Maintain a cash flow planning system to monitor cash balances and ensure availability of funds for the Company’s business initiatives
· Managing banking and treasury activities to ensure maximum returns on the Company’s cash and short-term investments, providing regular reporting thereon on to the CEO
· Leadership in the preparation of applications for and administration of government funding programs and grants
· Management of the Company’s tax reporting and compliance, including annual corporate tax returns, filing and audits related to flow-through or other tax-advantaged funding mechanisms, and monitoring compliance with various taxation requirements
Corporate Governance
· Attendance at all board and committee meetings, including preparation and delivery of relevant meeting materials
· Preparation and management of the Company’s corporate records, including board and committee meeting minutes, and preparation of required regulatory filings including the annual information form and management information circular
· Management of the Company’s policy manual
· Timely reporting for the Company’s annual ESTMA compliance
· Supporting the development and rollout of an ESG communication strategy and approach to accurate, transparent and meaningful sustainability reporting
· Identifying regulatory trends, issues and opportunities and regularly advising senior management colleagues and board members to ensure the Company’s compliance with good governance practices, regulatory legislation and international standards
General Administration
· Fostering a positive and ethical organizational culture and a work environment that is supportive in achieving the Company’s business goals and objectives
· Assistance to the CEO in preparation and presentation of company public-facing marketing and communication materials (e.g., corporate presentation, website, social media channels)
· Supporting the CEO in the assessment and execution of fundraising and strategic initiatives, including liaison with external advisors and legal counsel
· Oversight regarding the Company’s administrative functions, including management of the Company’s IT function, leases and other key contractual commitments, including insurance programs
· Leadership of the Company’s HR policies, payroll management, benefits administration and related reporting and remittances
· Management of the Company’s subsidiaries and mineral claims to ensure compliance with all reporting requirements
Candidate Profile:
- University degree in commerce or business administration, CPA, CA designation preferred
- Minimum of 15 years work experience, including 5 years in a senior leadership role in finance and administration, mining industry experience preferred
· Proven track record of leadership in finance and administration and managing staff toward the accomplishments of desired objectives, standards and outcomes
· Public company experience preferred, including management of external audit processes and securities regulatory requirements
· Detail-oriented professional with excellent organizational, planning and project management skills to generate key deliverables on-time and within budget
· Ability to develop and maintain positive collaborative relationships with all stakeholders and partners including consultants, governments, and colleagues
· Strong writing ability and history of effective communication with executive management and board members, and demonstrated skills in presenting complex information in plain language
· Understanding of pertinent taxation, financial reporting and securities regulations, procedures, and guidelines
· Strategic thinker with demonstrated ability to act as entrepreneur and innovator within the strategic goals of the Company
