Position Overview
Nuclea Energy is seeking a Chief Financial Officer to lead our financial operations as we transition from a private company to a public listing on the NASDAQ/NYSE. We are looking for a long term strategic partner to the CEO. While the immediate priority is guiding the company through the listing process, the core objective is to serve as the ongoing financial steward of a publicly traded hard-tech company. You must have direct experience managing US IPOs to oversee our listing, manage ongoing financial reporting, and lead our growth strategy through acquisitions and financing.
Key Responsibilities
1. IPO Readiness & Public Market Execution
- Go Public Leadership: Manage the complete listing process for the NASDAQ/NYSE, acting as the primary point of contact for investment bankers, external legal counsel, and auditors.
- SEC Reporting & Filing: Prepare and file the S-1/F-1 registration statement. Own the ongoing compliance and reporting lifecycle, including 8-K, 10-Q, and 10-K filings, ensuring strict adherence to US GAAP and SEC regulations.
- Investor Relations: Partner with the CEO to craft the investment thesis. Present the company’s financial position to institutional investors and analysts during the IPO roadshow and lead ongoing quarterly earnings calls.
2. Capital, M&A and Growth Strategies
- Capital Planning: Develop financial models and forecasting tools to support decision-making regarding capital structure, ensuring the company is funded for rapid scaling.
- Strategic Acquisitions: Lead the evaluation and execution of M&A targets. Perform rigorous due diligence and financial modeling to ensure acquisitions are accretive (increasing earnings per share) and align with the company’s long-term growth goals.
- Non-Dilutive Financing: Pursue capital strategies that protect shareholder equity, including government energy grants, debt instruments, and strategic partnerships
3. Financial Operations, Audit & Governance
- Audit Oversight: Coordinate directly with external auditors to ensure timely completion of all required audits. Note: This role requires a hands-on approach; you must be willing to travel to office locations or audit sites globally to facilitate the audit process.
- Internal Controls (SOX): Build and maintain robust internal controls and corporate governance practices (SOX compliance) suitable for a publicly traded company.
- Reporting Excellence: Oversee the preparation of MD&A, tax filings, and complex financial statements under US GAAP and IFRS where applicable.
4. Team Leadership
- Department Construction: Build, mentor, and lead a high performing finance and accounting team capable of meeting the rigorous deadlines of a public company.
- Board Interaction: Serve as a key advisor to the Board of Directors, providing transparent reporting on risk, liquidity, and strategic opportunities.
Qualifications
- Experience: 10+ years of progressive finance leadership, with mandatory experience as a CFO for a NASDAQ or NYSE listed company.
- US IPO Experience: A proven track record of leading or materially contributing to a successful US IPO process.
- Technical Expertise: Deep knowledge of US GAAP, SEC reporting requirements (S-1, 10-K, 8-K), and MD&A preparation.
- Education: CPA or CA designation is required. MBA is a strong asset.
- M&A Track Record: Demonstrated history of executing M&A transactions and integrating new business units.
- Travel: Ability to travel frequently (approx. 25% globally) for investor meetings, deal closings, and audit management.
- Industry: Experience in the Energy, Infrastructure, or Deep Tech sectors is preferred.
