Fractional Chief Financial Officer (CFO)
Location: Frisco, Texas (Preferred) | Open to candidates across the United States
Engagement: Fractional, with the opportunity to transition into a full-time Chief Financial Officer as the company scales, expands its capital markets activities, and progresses toward becoming a publicly listed company.
The Opportunity
We are seeking a strategic finance executive who can help shape the future of our client during one of the most significant phases of its growth. The successful candidate will serve as a trusted advisor to the CEO and Board while providing the financial leadership required to scale a high-growth enterprise AI company.
While the finance organization will manage much of the day-to-day accounting and controllership activities, the CFO’s primary responsibility will be to lead the company’s financial strategy, capital markets initiatives, investor engagement, corporate development, and public company readiness.
The ideal candidate has successfully navigated similar growth journeys and understands how to build credibility with investors, lenders, Board members, strategic partners, and other external stakeholders.
What You’ll Own
Capital Markets & Public Company Readiness
- Lead the company’s financial strategy as it progresses toward becoming a publicly listed company.
- Partner with the CEO and Board on fundraising initiatives, including equity and debt financing.
- Build and manage relationships with institutional investors, venture capital firms, private equity investors, commercial banks, and strategic financing partners.
- Develop the financial infrastructure, governance framework, reporting standards, and internal controls required of a public company.
- Lead investor communications, Board reporting, and capital market presentations.
Strategic Finance
- Serve as the principal financial advisor to the CEO and Board on corporate strategy, capital allocation, enterprise risk, and long-term value creation.
- Develop long-range financial plans, operating models, and scenario analyses to support strategic decision-making.
- Drive enterprise-wide budgeting, forecasting, liquidity planning, and financial performance management.
- Establish financial metrics and operating disciplines that support sustainable growth.
Corporate Development
- Evaluate and execute mergers, acquisitions, strategic investments, and partnership opportunities.
- Lead financial due diligence, valuation, transaction structuring, and post-acquisition integration.
- Support strategic initiatives that accelerate the company’s growth objectives.
Finance Leadership
- Build and mentor a high-performing finance organization capable of supporting a rapidly scaling global technology company.
- Provide executive oversight of accounting, FP&A, treasury, tax, audit, compliance, and financial operations through a strong leadership team.
- Implement scalable systems, processes, and governance that enable growth while maintaining financial discipline.
Ideal Candidate Profile
Required Experience
- Proven experience as a Chief Financial Officer or senior finance executive within a high-growth technology or enterprise software company.
- Experience in venture-backed software or AI companies.
- Public company experience, including financial reporting, governance, compliance, and investor-facing responsibilities.
- IPO readiness or public company transition experience.
- Expertise working on SEC reporting, corporate governance, internal controls, and public company compliance.
- Demonstrated success leading fundraising and capital raising initiatives.
- Experience working closely with Boards of Directors, investors, lenders, and external advisors.
- Significant experience leading or supporting mergers and acquisitions.
- Experience building and scaling finance organizations during periods of rapid growth.
- Bachelor’s degree in Finance, Accounting, Economics, or Business.
Preferred Experience
- Enterprise SaaS or enterprise software background.
- Familiarity with AI, enterprise software, automation, infrastructure software, or emerging technology markets.
- CPA and/or MBA preferred.
