About the Role
We are seeking an accomplished and strategic Chief Financial Officer (CFO) to lead the company’s finance function and play a pivotal role in its next phase of growth, including IPO preparation and execution.
The CFO will be responsible for driving financial strategy, strengthening governance and controls, optimizing capital structure, and ensuring the organization is fully prepared for the demands of a public listing. The ideal candidate will bring strong experience in IPO management, investor relations, corporate finance, financial planning, regulatory compliance, and stakeholder management, along with the ability to partner closely with the CEO, Board, investors, auditors, legal advisors, and investment bankers.
Key Responsibilities
1. IPO Strategy & Execution
- Lead the end-to-end IPO process, from readiness assessment and planning through listing and post-IPO compliance.
- Develop and execute the company’s IPO roadmap, timelines, milestones, and readiness plan.
- Coordinate with investment banks, legal counsel, auditors, merchant bankers, regulators, and other external advisors.
- Drive preparation of IPO-related financial information, disclosures, due diligence materials, prospectus/offer documents, and management representations.
- Ensure financial statements, accounting policies, internal controls, governance frameworks, and reporting processes meet public-company standards.
- Lead IPO due diligence, financial diligence, regulatory queries, and resolution of audit or accounting matters.
- Manage IPO-related investor communications, roadshows, analyst interactions, and management presentations in partnership with the CEO and investor-relations team.
- Ensure successful transition from a private to a publicly listed company, including post-listing reporting and governance requirements.
2. Financial Strategy & Business Leadership
- Develop and execute the company’s overall financial strategy in alignment with business objectives.
- Lead annual budgeting, forecasting, long-range planning, and financial performance management.
- Provide strategic insights to the CEO and Board on growth, profitability, cash flow, investments, and capital allocation.
- Establish appropriate financial KPIs and drive accountability across the organization.
- Evaluate strategic initiatives, acquisitions, investments, partnerships, and other major business decisions from a financial perspective.
3. Financial Reporting, Controls & Governance
- Oversee accurate and timely monthly, quarterly, and annual financial reporting.
- Strengthen accounting, financial controls, risk management, and compliance frameworks.
- Ensure compliance with applicable accounting standards, tax regulations, securities regulations, and corporate laws.
- Lead relationships with statutory auditors, internal auditors, tax advisors, and other professional advisors.
- Build robust internal controls and corporate governance mechanisms appropriate for a listed company.
4. Capital Management & Investor Relations
- Manage the company’s capital structure, liquidity, treasury, and working capital.
- Develop relationships with institutional investors, private equity/venture capital investors, lenders, analysts, and other financial stakeholders.
- Lead investor reporting and support the development of a strong equity story and investor narrative.
- Optimize capital allocation and evaluate opportunities for debt, equity, strategic investments, and other financing structures.
5. Team & Organizational Leadership
- Build, mentor, and lead a high-performing finance organization.
- Establish scalable finance processes, systems, and reporting infrastructure.
- Develop finance talent capable of supporting the organization through IPO and subsequent public-company growth.
- Foster a culture of accountability, transparency, compliance, and commercial thinking.

Candidate Profile
- 15+ years of progressive finance experience, preferably with experience as a CFO / Finance Director / senior finance leader.
- Demonstrated hands-on experience managing an IPO, preferably from preparation through listing.
- Strong understanding of capital markets, financial reporting, corporate governance, and regulatory requirements.
- Experience working with investment banks, auditors, legal advisors, regulators, and institutional investors.
- Strong knowledge of financial planning, treasury, taxation, risk management, and internal controls.
- Experience in a high-growth, complex, or professionally managed organization preferred.
- Excellent strategic, analytical, communication, negotiation, and stakeholder-management skills.
- Ability to operate effectively with the Board, CEO, senior leadership team, investors, and external advisors.
Preferred Qualifications
- CA / CPA / CMA / MBA (Finance) or equivalent professional qualification.
- Prior experience taking a company public or managing a significant public-market transaction.
- Experience in [Industry/Sector] preferred.
- Exposure to M&A, fundraising, private equity/venture capital, and investor relations will be an advantage.
