Role Overview
The Chief Financial Officer will lead the financial strategy and governance of a growing pharmaceutical company preparing for IPO and expanding international operations. The role requires deep expertise in capital markets readiness, regulatory compliance in the pharma sector, and cross-border financial management. The CFO will act as a strategic partner to the CEO and Board, driving financial discipline, investor confidence, and scalable systems to support domestic and global growth.
Key Responsibilities
Strategic & Corporate Finance
- Lead overall financial strategy aligned with the company’s growth, expansion, and IPO roadmap.
- Drive IPO readiness, including financial restructuring, internal controls, governance frameworks, and engagement with bankers, legal advisors, and regulators.
- Develop long-term financial models, capital allocation strategies, and funding plans.
- Support Board and investor communications with robust financial insights and reporting.
IPO & Capital Markets
- Lead end-to-end IPO preparation: due diligence, DRHP/RHP processes, valuation support, and roadshow readiness.
- Manage relationships with investment bankers, auditors, legal counsel, and regulatory bodies (SEBI, stock exchanges).
- Establish investor relations function and post-listing reporting structures.
- Ensure adherence to public company reporting standards and governance norms.
Financial Operations & Compliance
- Oversee financial reporting in accordance with Ind AS/IFRS and Indian regulatory requirements.
- Ensure strong internal controls, audit readiness, and risk management frameworks.
- Manage taxation strategy, including international tax structuring, transfer pricing, and compliance.
- Lead treasury, working capital optimisation, and cash flow management.
International Financial Management
- Manage financial operations across multiple geographies, including subsidiaries, distributors, and partnerships.
- Oversee cross-border transactions, forex management, and global compliance requirements.
- Structure and monitor international entities from a financial, tax, and regulatory perspective.
- Support global expansion into regulated markets (US, EU, emerging markets) with appropriate financial governance.
Leadership & Governance
- Build and mentor a high-performing finance organisation.
- Serve as a key member of the executive leadership team and advisor to the Board.
- Drive financial discipline, cost optimisation, and performance management across the business.
- Establish best-in-class governance and reporting standards expected of a listed pharmaceutical company.
Candidate Profile
Experience
- 15+ years of progressive finance leadership experience, with significant tenure in pharmaceuticals, life sciences, healthcare, or regulated manufacturing.
- Proven experience leading or playing a key role in a pre-IPO/IPO process in India.
- Strong exposure to international financial management and multi-country operations.
- Experience managing complex regulatory and compliance environments.
- Prior Board interaction and investor-facing experience preferred.
- A CA qualification is mandatory.
- Additional exposure to global accounting standards (IFRS/US GAAP) preferred.
