Executive Summary
We are seeking a high-caliber, strategic, and growth-oriented Chief Financial Officer (CFO) to steer our financial strategy during a critical phase of rapid expansion. Currently operating at an annual revenue of ~₹350 Crore with order book value of 1500 Cr, the company is preparing for rapid growth considering growing market size and substantial fund flow from various state and central government initiatives.
The ideal candidate will combine deep financial expertise in Capex-intensive/EPC/BOOT/DBFOT models from heavy infrastructure sector with proven public market transition experience, robust corporate governance standards, and strong investor relations capabilities.
Role Overview & Strategic Objectives
The CFO will serve as a strategic partner to the Board, overseeing all financial operations, capital allocation, risk management, and regulatory compliance. The primary objective is to scale the financial infrastructure from a ₹350 Cr enterprise to a ₹1,000+ Cr public company while maintaining healthy EBITDA margins and optimizing working capital.
Key Responsibilities
1. Financial Strategy, Capital Allocation & Fundraising
•Growth Financing: Formulate capital raise strategies combining debt, equity, and mezzanine financing to support 25%+ annual expansion.
•Project & Infrastructure Finance: Structure project financing for large-scale Wastewater Treatment Plants (STPs/ETPs/Zero Liquid Discharge), Public-Private
Partnerships (PPP), Hybrid Annuity Models (HAM), and Build-Own-Operate-Transfer (BOOT) projects.
•Working Capital Optimization: Drive aggressive working capital management, reducing Days Sales Outstanding (DSO) and optimizing inventory/payable cycles inherent to long-term engineering and execution contracts.
2. Financial Operations, Reporting & Governance
•Financial Planning & Analysis (FP&A): Establish robust multi-year financial modeling, forecasting, budgeting, and variance analysis aligned with business growth targets.
•Ind AS / IFRS Compliance: Ensure seamless compliance with Ind AS financial reporting standards, regulatory filings, and tax management (Direct and Indirect/GST).
•Internal Controls & Audit: Build institutional-grade internal financial controls (IFC), internal audit frameworks, and risk management policies to meet public company standards.
•Treasury & Forex Management: Manage liquidity, banking relationships, credit lines, interest rate risks, and foreign exchange exposure for imported machinery/technology.
•Team Management and Trainings: Ensure team in head office as well as site office locations are working within set procedures and timelines with robust checks and balances in place.
3. Commercial Strategy & Business Support
•Project Viability & Bidding: Evaluate commercial proposals, tender submissions, IRR, and payback periods for high-value wastewater management contracts.
•Cost Optimization & Margin Expansion: Drive cost control initiatives across procurement, execution, and plant operations to improve EBITDA margins.
•M&A and Joint Ventures: Evaluate and execute inorganic growth opportunities, technology licensing deals, or joint ventures.
4. Public Market Transition Readiness
•Ensure capital structure, shareholding patterns, and internal accounting practices align with SEBI regulations and stock exchange requirements.
•Build and maintain relationships with institutional investors, analysts, and retail stakeholders for pre- and post-listing.
•Ensure proper internal processes are set up with routine checks and balances for investors in future
Candidate Profile & Qualifications
Required Experience
•Education: CA/ICWA/MBA is mandatory.
•Industry Experience: Minimum 18–22 years of total experience, with at least 5–7 years as a CFO or Deputy CFO in infrastructure, EPC, water treatment, environmental engineering, capital goods, or related manufacturing sectors.
•Scale Experience: Proven track record in mid-to-large corporate setups (₹300 Cr – ₹1,000+ Cr revenue).
Technical & Domain Skills
•Proven IPO Track Record: Direct exposure to leading a successful IPO process, DRHP filing, and post-listing compliance in India.
•Water & Infrastructure Domain Knowledge: Deep understanding of project accounting, contract management (FIDIC/Government tenders), revenue recognition (Ind AS 115), GST / Income tax dispute resolution and concessions models.
•Banking & Investor Network: Strong relationships with private equity firms, investment bankers, rating agencies, and commercial banks.
