Role Purpose :
The Chief Financial Officer (CFO) will be a strategic partner to the Founder-CEO and the Board, responsible for owning Yotta’s capital strategy, financial governance, investor confidence, SEZ economics, and IPO readiness, while ensuring flawless execution of finance operations during a period of hyper-growth.
This role blends capital markets leadership, infrastructure finance depth, and operational rigor, across India and global jurisdictions.
Key Responsibilities :
1. IPO, Listing & Capital Markets Leadership
- Lead end-to-end IPO readiness and execution for an India listing; maintain optionality for future US listing.
- Drive listing-grade financials, disclosures, governance frameworks, and audit readiness.
- Manage interactions with investment bankers, legal advisors, auditors, regulators, and rating agencies.
- Own the equity story, prospectus inputs, financial sections, and investor communication strategy.
- Establish post-listing discipline: reporting cadence, guidance frameworks, analyst interactions, and compliance.
2. Fund Raising & Capital Structure
- Lead pre-IPO equity raises (HNIs, family offices, strategic investors).
- Structure and manage debt, structured finance, project finance, vendor financing, and working-capital lines.
- Optimize capital structure for capital-intensive infrastructure growth.
- Own lender, investor, and rating-agency relationships.
- Evaluate M&A, inorganic expansion, and strategic investments from a financial and governance lens.
3. Financial Strategy & Founder Partnership
- Shape long-term financial strategy aligned with Yotta’s growth roadmap across DCs, cloud, and AI platforms.
- Act as a trusted financial advisor to the Founder-CEO on pricing, margin structures, capex pacing, and risk.
- Oversee budgeting, forecasting, scenario planning, and capital allocation.
- Build robust MIS, dashboards, and decision-support systems for the Board and leadership team.
4. SEZ, STPI & Infrastructure Finance
- Oversee SEZ financial operations, including taxation, customs, forex, and regulatory compliance.
- Lead structuring and financial planning for:
- Conversion of multiple data centre buildings into SEZ
- Designation of STPI-bonded infrastructure
- Ensure full compliance while maximizing legitimate fiscal and duty benefits.
- Manage cross-border taxation, transfer pricing, FEMA, and global compliance structures.
5. Governance, Compliance & Risk
- Institutionalize listed-company-grade governance frameworks.
- Ensure compliance with Companies Act, SEBI, RBI, FEMA, and global regulations (including SEC, if applicable).
- Oversee internal controls, statutory audits, tax audits, and risk management.
- Lead enterprise-wide risk assessment across financial, contractual, regulatory, and operational domains.
6. Finance Operations & Leadership
- Lead end-to-end finance operations covering:
- Accounting & statutory reporting
- Billing, collections, receivables
- Vendor payables & treasury
- Taxation, compliance, and finance-legal interfaces
- Scale finance systems, automation, and processes to support rapid growth.
- Build, mentor, and retain a high-caliber finance leadership team.
- Ensure speed without loss of control, accuracy without bureaucracy.

Ideal Candidate Profile
Experience
- 20+ years of progressive finance leadership experience.
- Prior experience as CFO / Deputy CFO in:
- Infrastructure / data centres / telecom / energy / large tech platforms
- Demonstrated hands-on IPO experience (India preferred; US exposure a strong plus).
- Deep experience in fund raising, capital markets, and debt structuring.
- Exposure to SEZ, large capex programs, or regulated infrastructure highly desirable.
- Comfort operating in high-growth, founder-led environments.
Qualifications
- CA / CPA / CFA / MBA (Finance).
- Strong command of Ind AS, IFRS, and US GAAP.
- Experience with SOX, SEC reporting, or cross-border structures is an advantage.
