About The Role
Celestix Industries India Pvt. Ltd. is looking for an experienced, hands-on
Chief Financial Officer (CFO) to lead the company's finance function through its next stage of growth and our planned journey toward becoming a publicly listed company.
This is a critical leadership position.
We are specifically looking for someone who has
personally and successfully taken a company through an IPO and has significant experience working within a
manufacturing company.
The incoming CFO will also be responsible for
building, developing and maintaining a strong finance team and finance infrastructure from the ground up.
We are not looking for someone who operates only at a strategic or supervisory level. We need a CFO who is
hard-working, highly involved and hands-on—someone who is comfortable getting into the details, solving problems directly and building the systems and team required for a growing manufacturing organization.
Key Responsibilities
IPO & Listing
The CFO will take ownership of the company's financial preparation and execution for its planned IPO.
The candidate must have personally completed an IPO and should have practical, first-hand experience with the entire process, including:
IPO readiness and planning
Pre-IPO financial restructuring and preparation
Selection and coordination with merchant bankers, investment bankers, legal counsel, auditors and other advisors
DRHP/RHP preparation
Financial and legal due diligence
Restated financial statements
Internal financial controls
Corporate governance requirements
SEBI and stock-exchange requirements
Audit Committee and Board requirements
Investor and institutional due diligence
IPO financial disclosures
Capital structure and IPO-related financial planning
Post-listing reporting and compliance
We are looking for someone who understands what actually needs to happen inside a company to get it IPO-ready—not simply someone who has worked for a listed company.
Build & Lead the Finance Team
A major part of the mandate will be to build a strong finance organization capable of supporting both the company's growth and its transition into a listed company.
The CFO Will:
Evaluate the existing finance structure and capabilities.
Design the appropriate finance organization for the company's future scale.
Recruit and develop key finance personnel.
Build strong capabilities across accounting, FP&A, costing, treasury, taxation, controls, compliance and commercial finance.
Establish clear roles, responsibilities and accountability.
Develop second-level finance leadership.
Create processes that do not depend excessively on individual employees.
Establish a culture of accuracy, urgency, accountability and ownership.
Continuously develop the finance team as the company grows.
The CFO must be willing to
build rather than simply inherit and manage a finance organization.
Manufacturing Finance
Substantial Manufacturing-company Experience Is Mandatory For This Position.
The candidate must understand the financial and operational realities of manufacturing, including:
Product and standard costing
Bill of material and material-cost analysis
Inventory valuation
Inventory ageing
Slow-moving and obsolete inventory
Raw material, WIP and finished-goods controls
Purchase price variance
Material consumption and yield
Scrap and manufacturing losses
Labor and overhead absorption
Plant profitability
Customer and product profitability
Capacity utilization
Capital expenditure
Fixed assets
Supplier terms
Customer receivables
Working capital
Cash conversion cycle
The CFO should be capable of working closely with operations, purchasing, supply chain and plant management—not just the accounting department.
Financial Strategy & Business Partnership
Work directly with the Managing Director and Board on the company's financial and strategic direction.
Responsibilities Include:
Long-term financial planning
Capital allocation
Growth planning
Business and plant expansion
Capital expenditure evaluation
Profitability improvement
Cash-flow management
Working-capital strategy
Financing strategy
Risk management
Scenario planning
M&A and strategic investment evaluation where applicable
The CFO should bring strong commercial judgment and be capable of challenging assumptions when necessary.
FP&A & Management Reporting
Develop a Strong Financial Planning And Analysis Function, Including:
Annual budgets
Rolling forecasts
Long-range financial plans
Monthly management reporting
Variance analysis
Cash-flow forecasting
Customer profitability
Product profitability
Plant-level performance
Working-capital analysis
CAPEX analysis
Operational and financial KPIs
Management should have accurate, timely and actionable financial information available for decision-making.
Working Capital, Treasury & Banking
Take Ownership Of:
Cash-flow planning
Working-capital management
Inventory investment
Receivables
Payables
Customer and supplier advances
Banking facilities
Working-capital limits
Term loans
Project financing
Treasury
Foreign exchange exposure
Hedging
Credit ratings
Banking relationships
Capital structure
The CFO should be comfortable personally negotiating and maintaining relationships with banks, financial institutions and other capital providers.
Controls, Governance & Compliance
Build the financial discipline and governance required of a future listed company.
Responsibilities Include:
Internal financial controls
Delegation of authority
Approval matrices
Financial policies and SOPs
Internal audit
Statutory audit
Risk management
Related-party transaction controls
Board reporting
Audit Committee reporting
Corporate governance
Regulatory compliance
The CFO should proactively identify weaknesses and fix them rather than wait for an audit to identify them.
Accounting, Taxation & Audit
Maintain Overall Responsibility For:
Financial statements
Monthly and annual closing
Statutory audit
Internal audit
Tax audit
Direct taxation
GST and indirect taxation
Transfer pricing, where applicable
Companies Act requirements
Accounting standards
Consolidation
Financial controls
Statutory and regulatory reporting
Candidate Requirements
Mandatory Requirements
Candidates should apply only if they meet the following core requirements:
- Personally completed an IPO
The candidate must have held a meaningful senior finance leadership role and personally participated in taking a company through the complete IPO process.
Experience merely working at a listed company will
not be considered equivalent.
Significant finance leadership experience within a manufacturing company is
mandatory.
Candidates whose experience is predominantly in banking, financial services, consulting, IT/services or other non-manufacturing industries will not be the right fit for this position.
- Hands-on leadership style
We need someone who is willing to get involved personally.
The CFO should be comfortable reviewing numbers in detail, investigating discrepancies, working directly with teams, developing processes, interviewing and hiring people, solving operational finance problems and following matters through to completion.
The candidate should have demonstrated experience building, restructuring or substantially developing a finance organization.
Experience & Qualifications
Chartered Accountant (CA) strongly preferred.
Approximately
18–25+ years of progressive finance experience preferred.
Previous experience as CFO, Deputy CFO, Finance Director or another senior finance leadership position.
Significant manufacturing-sector experience is mandatory.
Personally completed at least one IPO.
Strong understanding of Indian capital markets and IPO requirements.
Strong knowledge of accounting, taxation, Companies Act requirements, financial controls and corporate governance.
Experience working with Boards, Audit Committees, auditors, merchant bankers, legal advisors, banks and financial institutions.
Strong understanding of manufacturing costing, inventory and working capital.
Experience building and developing finance teams.
